AAUW Convention 2009 – Bylaws

Proposed Bylaws

The proposed bylaws were approved as proposed with the following exceptions:

  1. Article IV Sections 1 – 3 replaced with Article IV
    Sections 1 – 4 of the 2007 bylaws (wording to be modified to reflect the new bylaws).
  2. Article VI Section 1a – “seven” was changed to “ten”, Section
    1b “six” was changed to “three”.

So what does this mean?

  1. The qualifications for membership have not changed. At least an
    associates degree is still required.
  2. The delegate system has been eliminated – one member has one
    vote. This will change the flavor of conventions, since a 5% quorum
    is required for a valid vote.
  3. The AAUW Board will have a President, a Vice President, and
    thirteen Board members (this will be seven elected and six appointed,
    changing to ten elected and three appointed in the next election).
    There will be an annual meeting and biannual conventions. There
    were not details on a 2010 meeting.
  4. AAUW Partners have been established. This will allow organizations that share our mission to join – examples might be Girls Scouts and corporations.
  5. The only required officers that a branch must have are President
    and Treasurer (Financial Officer). Branches are welcome to keep their
    current branch structures. Suggested models for branch structures
    will soon be posted by Association. There is no minimum size for a
    branch.
  6. States will continue to exist as long as their branches agree to
    keep the state structure. The PA Every Member Survey indicated that
    the State Board structure is strongly welcomed. The AAUW-PA structure
    may be adjusted.
  7. New organizational structures may be adopted. One example might
    be (AAUW-PA District 3) + (AAUW-NJ) + (AAUW-DE). Remember that at the
    2007 convention the regional structures (we are in the Mid Atlantic
    Region or MAR) were dissolved.
  8. Association dues will be set by a vote of the AAUW Association
    Board. No dues increase was voted on at the 2009 convention.
  9. Changes will need to be made to the bylaws of every branch.
    Model bylaws (both branch and state) have been promised to be issued
    very soon.
